Application, Enrolment and Certification Terms & Conditions

Version 1.0 ยท Effective 26 October 2026

Contents

These Terms & Conditions apply to applications, registrations, enrolments, certifications, Belt levels, pathway plans, learning services and related services provided by McKellar Institute.

By submitting an application, accepting these Terms, making payment or accessing a McKellar service, you agree to be bound by these Terms together with any policies or conditions expressly incorporated into your enrolment.

1. About these Terms

These Terms govern your relationship with McKellar Institute in relation to:

  • applications and eligibility;
  • enrolment;
  • certification programmes;
  • Belt progression;
  • fees and payments;
  • pathway or bundle purchases;
  • instalment plans where offered;
  • learning-platform access;
  • McKellar AI Lab access;
  • assessment and academic integrity;
  • certification and credentials; and
  • related learner services.

Where a certification, pathway, Belt, promotion or payment arrangement has additional conditions disclosed before purchase, those conditions form part of your agreement with McKellar Institute.

Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded under applicable law.

2. Accuracy of information

You confirm that all personal, educational, professional, identity and other information provided by you is accurate, complete and not misleading.

McKellar Institute may request supporting documentation or take reasonable steps to verify information supplied during or after your application.

If information supplied by you is false, fraudulent, misleading or materially incomplete, McKellar Institute may, as appropriate:

  • reject your application;
  • withdraw an eligibility decision;
  • suspend your account;
  • cancel your enrolment;
  • invalidate assessment results;
  • withhold or revoke a credential; or
  • take other reasonable action.

Any refund or other financial entitlement in such circumstances will be determined in accordance with these Terms and applicable law.

3. Eligibility and enrolment

An eligibility decision means that McKellar Institute has determined that you satisfy the applicable entry requirements based on the information available at that time.

Eligibility approval is not enrolment.

Your enrolment is confirmed only when:

  • the required payment has been received, or an approved payment arrangement is in place;
  • any required identity or eligibility verification has been completed; and
  • any other stated enrolment requirements have been satisfied.

McKellar Institute may withdraw an eligibility decision if subsequently discovered information materially affects your eligibility.

4. Fees and currency

You must pay the fees displayed or communicated to you before enrolment.

Unless otherwise stated, McKellar Institute fees may be quoted in United States dollars (USD).

Your bank, card issuer or payment provider may apply:

  • currency conversion rates;
  • international transaction charges;
  • card processing charges; or
  • other third-party fees.

McKellar Institute is not responsible for charges independently imposed by your financial institution or payment provider.

5. International fee categories

McKellar Institute may apply different international fee categories.

Your applicable fee category may be determined using your declared nationality and may be subject to verification.

You are responsible for providing accurate nationality information.

If your fee category was calculated using incorrect or misleading information, McKellar Institute may correct the applicable fee before confirming enrolment or, where appropriate, subsequently seek the difference properly payable.

6. Payment and confirmation of enrolment

Your place is not confirmed merely because you submit an application or receive an eligibility decision.

Where full payment is required, enrolment is confirmed only once payment has been successfully received.

Where an approved instalment plan applies, enrolment may be confirmed once the required initial payment has been successfully received and any other stated conditions have been satisfied.

McKellar Institute may delay activation of learning access while a payment remains pending, reversed, disputed or subject to verification.

7. Refunds and change of mind

Except where required by applicable law, McKellar Institute does not provide refunds merely because you:

  • change your mind;
  • decide not to commence;
  • withdraw after enrolment;
  • decide not to continue;
  • fail to log in or use the learning environment;
  • fail to use the McKellar AI Lab;
  • do not complete your certification;
  • do not complete within the available access period;
  • fail an assessment;
  • fail to satisfy progression requirements;
  • experience a change in employment;
  • experience a change in financial or personal circumstances;
  • no longer require the certification;
  • decide that the certification no longer meets your personal career plans; or
  • fail to obtain a particular employment, career, immigration, licensing or professional outcome.

Nothing in this clause excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded.

Where applicable law entitles you to a refund, re-performance, cancellation or another remedy, McKellar Institute will provide the remedy required by law.

8. Cancellation or material failure by McKellar Institute

If McKellar Institute permanently cancels a certification you have paid for, is unable to provide a material part of the purchased service, or otherwise becomes legally required to provide a remedy, McKellar Institute will provide the remedy required under applicable law.

Where reasonably possible, McKellar Institute may offer an appropriate alternative, replacement, transfer or re-performance before or in addition to another remedy, where permitted by law and accepted by the learner where required.

9. Access periods and pathway duration

Unless otherwise stated at the time of enrolment, each McKellar Belt provides a maximum access period of six months.

A Belt's access period begins when that Belt is made available or unlocked to the learner.

Where a learner has purchased a pathway or bundle containing multiple Belt levels, the overall pathway access period is calculated on the basis of a maximum of six months per Belt.

Accordingly, a complete four-Belt pathway from White Belt through Black Belt has a maximum overall access period of 24 months from the original enrolment date.

Access to each subsequent Belt remains subject to completion of the applicable prerequisite Belt and any other published progression requirements.

Where a Belt is unlocked during the pathway period, access to that Belt ends on the earlier of:

  • six months from the date that Belt is unlocked; or
  • the expiry date of the overall pathway access period.

Any period during which access is suspended because of overdue or failed payment does not pause, extend or restart the applicable Belt or pathway access period.

When a Belt or pathway access period expires:

  • active access to the relevant learning materials may end;
  • access to related AI Lab functionality may end;
  • unused AI Credits associated with that access expire;
  • unused access time has no cash value and is not refundable; and
  • later access requires an approved extension, reactivation or new enrolment where applicable.

If you have completed a Belt, expiry of its access period does not end your lifetime read access to that Belt's learning materials. Lifetime read access means read-only access for as long as McKellar Institute continues to operate. It does not include assessments, the McKellar AI Lab, AI Credits or other active learner services. McKellar Institute may withdraw or remove lifetime read access at any time, and you will have no claim against McKellar Institute for doing so.

McKellar Institute may approve an extension in exceptional circumstances.

Where offered, learners may also apply for a paid extension, including an extension of one month or three months. Any extension is subject to approval, the applicable fee disclosed at the time, and any conditions communicated before acceptance.

An extension is not automatic and exists only once confirmed by McKellar Institute.

Nothing in this clause limits any right or remedy that cannot lawfully be excluded under applicable law.

10. Extensions, deferrals and reactivation

McKellar Institute may offer extensions, deferrals or reactivation at its discretion or under a published policy.

Any such arrangement may:

  • require approval;
  • be subject to eligibility conditions;
  • have a maximum duration;
  • require payment of an additional fee disclosed before acceptance; and
  • affect assessment or completion deadlines.

An extension or deferral exists only when confirmed by McKellar Institute.

11. The McKellar Belt System

McKellar certifications may use the following progressive Belt structure:

White Belt โ€” Foundation
Yellow Belt โ€” Practitioner
Green Belt โ€” Specialist
Black Belt โ€” Professional Leader

Learners normally progress sequentially through the applicable Belt levels.

Purchasing access to multiple Belt levels does not guarantee successful progression through those levels.

Progression may depend upon successful completion of:

  • prerequisite Belt levels;
  • required learning activities;
  • assessments;
  • academic-integrity requirements; and
  • other published certification requirements.

Later Belt levels may remain locked until prerequisite requirements have been satisfied.

12. Pathway plans and bundled Belt purchases

McKellar Institute may offer pathway plans or bundles that include multiple Belt levels for one combined price.

A pathway or bundle purchase represents the purchase of the specified package of Belt levels, subject to the applicable progression requirements.

Where later Belt levels are included:

  • access may remain locked until earlier Belt requirements are satisfied;
  • unsuccessful completion of an earlier Belt does not automatically entitle you to access a later Belt;
  • failure to progress does not itself create an entitlement to a refund; and
  • the overall access period continues to apply unless McKellar Institute expressly agrees otherwise.

Any discount offered for purchasing multiple Belt levels applies to the bundle purchased and does not create a right to a retrospective discount for Belt levels purchased separately.

13. Instalment payment plans

Where McKellar Institute offers an instalment plan, it is a method of paying the total agreed purchase price over time.

By accepting an instalment plan, you are agreeing to purchase the certification, pathway or bundle for the stated total price and to pay that price according to the agreed payment schedule.

Before accepting an instalment plan, you will be informed of relevant payment information including:

  • the total purchase price;
  • the initial payment, if applicable;
  • the number of instalments;
  • the amount of each instalment;
  • the payment frequency;
  • the applicable access period; and
  • any material conditions associated with the payment arrangement.

Stopping study does not automatically cancel the remaining payment obligation.

14. Withdrawal while paying by instalments

Where you have purchased a certification, pathway or bundle for an agreed total price payable by instalments, choosing to withdraw, stop participating or cease using the services does not automatically cancel unpaid instalments.

Subject to rights that cannot lawfully be excluded, remaining instalments may continue to be payable where they represent unpaid portions of the agreed purchase price.

This applies where, for example, you:

  • change your mind;
  • stop studying;
  • do not log in;
  • fail to submit assessments;
  • fail to progress to a subsequent Belt;
  • cease using the AI Lab; or
  • decide that you no longer require the certification.

Nothing in this clause limits any cancellation or refund right that applies under law.

15. Failed and overdue instalments

You are responsible for ensuring that your nominated payment method remains valid and that instalments are paid when due.

Where an instalment is overdue, McKellar Institute may reasonably:

  • notify you of the overdue amount;
  • attempt to reprocess an authorised payment method;
  • request that you update your payment method;
  • temporarily restrict or suspend access; and
  • take reasonable steps to recover amounts properly due.

Where practicable, reasonable notice will be provided before access is suspended for non-payment.

16. Suspension for non-payment

If an amount remains overdue, McKellar Institute may suspend access to some or all relevant services, including:

  • learning materials;
  • course activities;
  • assessments;
  • the McKellar AI Lab;
  • Belt progression;
  • credential issuance; and
  • other learner services.

Suspension for non-payment:

  • does not automatically cancel the underlying payment obligation;
  • does not constitute withdrawal by McKellar Institute;
  • does not automatically pause your enrolment; and
  • does not automatically extend your access period.

Where access is restored following payment, the original access expiry date continues to apply unless an extension is expressly approved.

17. Continued non-payment

Where an amount remains unpaid after applicable notice or any stated grace period, McKellar Institute may terminate access to the affected certification, pathway or bundle.

Amounts already paid are not refundable merely because access is suspended or terminated due to non-payment, except where required by law.

Any amount properly remaining due under the agreed payment arrangement may remain payable, subject to applicable law.

18. Payment disputes and chargebacks

If you believe a payment has been incorrectly charged, you should contact McKellar Institute promptly so the issue can be investigated.

Initiating a card dispute, payment reversal or chargeback does not itself:

  • constitute valid cancellation of an enrolment;
  • extinguish amounts legitimately owed; or
  • create an entitlement to retain learning access without payment.

McKellar Institute may temporarily suspend access while a reversed or disputed payment is investigated.

Nothing in this clause prevents you from exercising legitimate rights available through a bank, payment provider or applicable law.

19. Assessment

Certification may require completion of assessments, activities, projects, examinations, reflections, presentations, professional defences or other requirements.

Applicable assessment standards and completion requirements may differ by certification and Belt.

Enrolment does not guarantee:

  • successful assessment;
  • achievement of a particular grade;
  • completion;
  • Belt progression; or
  • award of a credential.

Learners are responsible for satisfying the applicable academic requirements.

20. Academic integrity

All work submitted as your own must comply with McKellar Institute's academic-integrity requirements.

You must not:

  • plagiarise;
  • fabricate or falsify information;
  • misrepresent another person's work as your own;
  • have another person complete an assessment for you;
  • impersonate another learner;
  • obtain unauthorised assistance;
  • misuse artificial intelligence contrary to assessment instructions; or
  • otherwise engage in academic misconduct.

McKellar Institute may investigate suspected misconduct and take proportionate action.

Possible outcomes may include:

  • requiring resubmission;
  • invalidating an assessment;
  • failing an assessment;
  • suspending progression;
  • cancelling enrolment; or
  • withholding or revoking a credential.

21. McKellar AI Lab

Where included in your certification, the McKellar AI Lab provides access to structured artificial-intelligence capabilities, projects, activities, resources and related learning functionality.

The AI Lab is designed as an educational and professional-development environment.

Available AI capabilities may depend on:

  • your certification;
  • your Belt level;
  • the activity or project;
  • your current entitlement;
  • available AI Credits; and
  • technical, security or operational requirements.

Not every capability is available at every Belt.

22. AI Credits

A certification or Belt may include a specified allocation of AI Credits.

AI Credits are an internal usage allowance for AI-powered capabilities within the McKellar AI Lab.

AI Credits:

  • are not money;
  • have no cash value;
  • cannot ordinarily be redeemed for cash;
  • cannot be transferred between learners;
  • do not represent ownership of AI-provider tokens;
  • are not based on the learner purchasing a specific external AI model;
  • may be used at different rates by different AI capabilities; and
  • are usable only in accordance with the applicable AI Lab rules.

The number of AI Credits used by a particular capability may vary according to the type or complexity of that capability.

Where applicable, the required AI Credit amount will be displayed or otherwise made available within the Lab.

23. Unused AI Credits

Unused AI Credits do not create an entitlement to:

  • cash;
  • a partial refund;
  • transfer to another learner;
  • transfer between unrelated certifications;
  • extension of course access; or
  • continued AI Lab access after the relevant entitlement expires.

Unless otherwise expressly stated, AI Credits are available only during the relevant certification or Belt access period.

Where additional AI Credits are granted, purchased or otherwise made available, any separate conditions disclosed for those Credits will apply.

24. Changes to AI technology

Artificial-intelligence technology changes rapidly.

McKellar Institute may reasonably change:

  • AI models;
  • AI providers;
  • routing arrangements;
  • technical infrastructure;
  • AI Lab interfaces;
  • individual capabilities; or
  • supporting technologies

where necessary for security, reliability, quality, availability, educational relevance or technological development.

Your enrolment does not give you a contractual entitlement to continued access to a particular named AI provider, model or model version unless expressly stated otherwise.

McKellar Institute will not rely on this clause to materially reduce the overall educational service purchased without considering any remedy required under applicable law.

25. AI outputs and professional responsibility

Artificial-intelligence systems can produce outputs that are:

  • inaccurate;
  • incomplete;
  • misleading;
  • outdated;
  • biased; or
  • inappropriate for a particular context.

AI-generated output must therefore be critically evaluated.

Unless expressly stated otherwise, AI Lab outputs do not constitute:

  • medical advice;
  • legal advice;
  • financial advice;
  • regulatory advice;
  • clinical advice; or
  • other professional advice.

You remain responsible for evaluating and verifying AI-assisted work and for decisions you make using it.

26. Information uploaded to the AI Lab

You must not upload information to the AI Lab where you do not have the legal or professional authority to do so.

In particular, you should not upload identifiable patient information, confidential employer information, commercially sensitive information, personal information belonging to others or protected third-party materials unless such use is expressly authorised and permitted.

You remain responsible for ensuring that your use of information complies with applicable:

  • confidentiality obligations;
  • privacy requirements;
  • employment obligations;
  • professional standards; and
  • laws.

McKellar Institute may restrict or remove access where AI Lab use creates material security, privacy, legal or academic-integrity concerns.

27. Technology and service availability

McKellar Institute provides services using online systems and may rely on third-party infrastructure and service providers.

Although reasonable efforts are made to maintain availability, uninterrupted access cannot be guaranteed.

Temporary interruption may occur because of:

  • scheduled maintenance;
  • emergency maintenance;
  • security incidents;
  • internet or telecommunications failures;
  • third-party outages;
  • software updates;
  • AI-provider outages;
  • infrastructure changes; or
  • circumstances outside McKellar Institute's reasonable control.

A reasonable temporary interruption does not by itself create an entitlement to a refund.

Where a material service failure gives rise to rights under applicable law, those rights remain unaffected.

28. Updates to curriculum and learning materials

McKellar Institute may reasonably update learning materials to maintain:

  • professional relevance;
  • academic quality;
  • regulatory currency;
  • technological currency;
  • accuracy; or
  • educational effectiveness.

This may include changes to:

  • readings;
  • examples;
  • activities;
  • assessments;
  • case studies;
  • datasets;
  • tools;
  • software;
  • sequencing; or
  • AI-supported activities.

Reasonable updates do not create an entitlement to a refund merely because the content differs from an earlier version.

McKellar Institute will not use this clause to materially reduce the service purchased without considering applicable legal obligations.

29. Code of conduct

You must interact with McKellar Institute staff, faculty, learners and systems honestly and respectfully.

You must not:

  • threaten, harass or abuse others;
  • engage in discriminatory or unlawful conduct;
  • intentionally disrupt learning environments;
  • misuse McKellar systems;
  • attempt to bypass access controls;
  • interfere with security measures;
  • share another learner's account;
  • permit another person to use your account; or
  • use McKellar services for an unlawful purpose.

Serious or repeated misconduct may result in restriction, suspension or termination of access.

30. Intellectual property

Unless otherwise stated, McKellar Institute or its licensors retain all intellectual-property rights in McKellar materials, including:

  • course materials;
  • videos;
  • written content;
  • assessments;
  • project materials;
  • templates;
  • graphics;
  • learning resources;
  • case studies;
  • software interfaces; and
  • proprietary AI Lab materials.

Enrolment gives you a limited, personal, non-exclusive and non-transferable right to use these materials for your own learning.

You must not, without permission, do any of the following with McKellar materials:

  • reproduce;
  • publish;
  • distribute;
  • resell;
  • sublicense;
  • commercially exploit;
  • provide to third parties; or
  • systematically extract McKellar materials.

31. Learner-created work

Subject to any rights held by third parties or incorporated source materials, you ordinarily retain ownership of original work you create.

You grant McKellar Institute such limited rights as are reasonably necessary to:

  • receive and store your work;
  • assess it;
  • provide feedback;
  • operate learning services;
  • investigate academic integrity;
  • maintain academic records; and
  • verify credentials.

Any broader use of identifiable learner work for marketing, publication or unrelated purposes should be subject to separate permission where required.

32. Accounts and security

Your account is personal to you.

You must:

  • maintain the confidentiality of login credentials;
  • not share your account;
  • take reasonable steps to protect access;
  • promptly report suspected unauthorised access; and
  • comply with reasonable security requirements.

McKellar Institute may temporarily restrict access where reasonably necessary to investigate suspected fraud, compromise, misuse or security risk.

33. Credentials and certificates

A credential is awarded only when applicable requirements have been satisfied.

These may include:

  • successful assessment;
  • completion requirements;
  • academic-integrity requirements;
  • identity requirements;
  • payment obligations; and
  • other applicable certification requirements.

McKellar Institute may withhold, correct, invalidate or revoke a credential where it was issued as a result of:

  • fraud;
  • identity misrepresentation;
  • material application misrepresentation;
  • serious academic misconduct;
  • administrative error; or
  • another legitimate ground affecting the validity of the credential.

Credential status may be recorded in a verification system.

34. Credential verification

McKellar credentials may include:

  • a credential number;
  • verification URL;
  • QR code; or
  • other authenticity mechanism.

Third parties may be able to verify information reasonably necessary to establish credential authenticity, which may include:

  • learner name;
  • certification;
  • Belt;
  • issue date;
  • credential identifier; and
  • current credential status.

Further information about handling of personal information is provided in McKellar Institute's Privacy Policy.

35. Nature of McKellar certifications

McKellar Institute certifications are professional credentials awarded directly by McKellar Institute.

Unless expressly stated otherwise, they are not qualifications under the Australian Qualifications Framework (AQF) and McKellar Institute does not claim or imply AQF equivalence.

They should not be represented by learners as degrees, diplomas or other regulated qualifications unless McKellar Institute has expressly designated the particular award as such.

36. Professional recognition

You are responsible for determining whether a McKellar certification satisfies any specific requirement imposed by:

  • an employer;
  • regulator;
  • professional association;
  • licensing authority;
  • immigration authority;
  • university;
  • government agency; or
  • other organisation.

McKellar Institute does not guarantee acceptance or recognition by a particular third party unless expressly confirmed by McKellar Institute in writing.

37. No guarantee of career or financial outcome

McKellar Institute provides professional education and certification.

Application, eligibility, enrolment or certification does not guarantee:

  • employment;
  • a new job;
  • promotion;
  • career advancement;
  • increased income;
  • improved earning potential;
  • improved productivity;
  • continued employment;
  • job security;
  • employer recognition;
  • professional registration;
  • licensing;
  • immigration outcomes; or
  • any other particular personal, professional or commercial outcome.

Statements about potential career benefits describe possible benefits of capability development and are not guarantees of individual results.

38. Communications

McKellar Institute may send communications reasonably necessary to administer:

  • your application;
  • verification;
  • payment;
  • enrolment;
  • learning;
  • assessment;
  • support;
  • progression;
  • credentials; and
  • security.

These operational communications are separate from optional promotional marketing communications.

Marketing communications will be handled in accordance with applicable law and your communication preferences.

39. Privacy

McKellar Institute may collect, use, store and disclose personal information for purposes including:

  • assessing applications;
  • verifying identity or eligibility;
  • administering enrolment;
  • processing payments;
  • operating learning services;
  • providing AI Lab functionality;
  • assessment;
  • learner support;
  • credentialing;
  • security;
  • fraud prevention; and
  • legal or regulatory compliance.

Personal information is handled in accordance with the McKellar Institute Privacy Policy and applicable privacy laws.

Where third-party service providers process or receive learner information, such processing may occur in Australia or overseas.

Further information about information handling, overseas disclosures, access, correction and complaints is contained in the Privacy Policy.

40. Third-party services

McKellar Institute may use third-party providers to supply technology or operational services, including services relating to:

  • hosting;
  • databases;
  • authentication;
  • payment processing;
  • email;
  • learning systems;
  • AI technology;
  • analytics; and
  • communications.

Use of those providers does not alter any rights that cannot lawfully be excluded.

Where you independently access an external third-party product outside the McKellar environment, that provider's separate terms may also apply.

41. Suspension and termination

McKellar Institute may reasonably suspend or terminate access where circumstances include:

  • serious misconduct;
  • fraud;
  • material misrepresentation;
  • serious academic misconduct;
  • non-payment;
  • reversed payments;
  • unauthorised account sharing;
  • security threats;
  • unlawful activity; or
  • serious misuse of McKellar services.

Where appropriate, McKellar Institute may investigate before making a final decision.

Termination resulting from your breach does not automatically create an entitlement to a refund.

Any mandatory legal rights remain unaffected.

42. Effect of termination

Termination or expiry of access may end your right to:

  • have active access to course materials;
  • access the AI Lab;
  • use unused AI Credits;
  • submit new work;
  • participate in activities; or
  • access other learner-only services.

Termination of your access under these Terms also ends any lifetime read access to learning materials.

Academic and administrative records may be retained where reasonably necessary or legally permitted.

Credentials already validly awarded are not automatically affected by expiry of learning access.

43. Changes to these Terms

McKellar Institute may update these Terms from time to time.

The version that applies to a transaction, application or enrolment will ordinarily be the version accepted by you in relation to that transaction or enrolment, except where:

  • a change is required by law;
  • you expressly agree to an updated term; or
  • another lawful basis permits the change.

McKellar Institute will maintain appropriate records of applicable Terms versions.

Updates will not be used to retrospectively remove rights that have already accrued.

44. Electronic acceptance

You agree that Terms may be accepted electronically.

Electronic acceptance may include:

  • selecting an acceptance checkbox;
  • submitting an application;
  • digitally signing an application;
  • confirming an enrolment; or
  • completing another clearly identified electronic acceptance action.

McKellar Institute may retain records including:

  • the Terms version accepted;
  • date and time of acceptance;
  • application or enrolment reference;
  • acceptance method; and
  • other reasonable transaction records.

Such records may be used to establish the Terms applicable to your application or enrolment.

45. Governing law

These Terms are governed by the laws of Queensland, Australia.

Nothing in this clause limits any mandatory consumer right to bring a claim or exercise a remedy in another jurisdiction where applicable law permits it.

46. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be read down to the extent necessary or, where this is not possible, severed.

The remaining provisions will continue to apply.

47. No waiver

If McKellar Institute does not immediately exercise a right under these Terms, that does not necessarily mean the right has been waived.

A waiver is effective only to the extent expressly given.

48. Entire agreement

These Terms, together with:

  • the applicable enrolment or checkout information;
  • any specific pathway or payment-plan conditions;
  • the Privacy Policy;
  • applicable academic policies; and
  • any other document expressly incorporated into your enrolment,

form the agreement governing the relevant McKellar service.

Nothing in this clause excludes representations or rights that cannot lawfully be excluded.
